Business Association Constitution and By-Laws

ARTICLE I:  NAME & PURPOSE

Section A: Name – Small Business Network Group East Rand (SBN Group)

Section B: Purpose – The purpose of the Small Business Network Group (Herein known as SBN Group)

1.   To interface with likeminded business owners and representatives

2.   To promote the small businesses represented within the SBN group

3.   To leverage off each other in terms of business improvement and marketing skills

4.   To introduce by way of presentations / courses / articles, ideas and / or opportunities for all members.

5.   To share ideas / synergies between the member’s businesses within the group.

6.   To use where possible the other members in business ventures.

Section C: Community Programs

1.   The SBN group will either once or twice a year assist and / or promote specific community upliftment programs

2.   The group where possible would provide small business assistance through mentorship and business advice for new business owners

3.   Funding of community programs will be a voluntary basis by the members

ARTICLE II:  MEMBERSHIP & DUES

Section A: Eligibility - Membership shall be open to all business owners / representatives of a specific industry.

·        Only one member from an industry will be allowed to join unless the existing member agrees to another member in the same trade being allowed to join.

·        Each member will complete an application form

·        The potential member will be interviewed by two of the serving committee members.

·        Each member will be responsible for the payment of monthly membership fee.

·        Payment of membership will be required within one week of the committee notifying the new member of their acceptance to SBN.

·        All members are required to attend at least one meeting a month.

·        If a member fails to attend one meeting a month for two months their membership will be withdrawn and their membership fee forfeited.

·        All referrals to other members of the group are to be recorded at the next meeting and the member that is given the referral is required to provide feedback to the group.

·         To define membership qualification, upon payment of the dues as outlined in Section C.

 Section B: Dues – Dues shall be R60.00 per month payable by the last working day of the month.

 ARTICLE III:  OFFICERS

Section A: Officers – The officers shall be a Chairperson, Treasurer and Secretary. [These are general officers, additional officers will be added as specific officers to the needs of the Small Business Network Group East Rand, if necessary.]

Section B: Eligibility – Officers must be a fully paid up member.  

Section C: Election – The officers shall be elected by ballot at the first meeting of the New Year by a majority of the vote cast for that office by paid up members.

Section D: Term – The officers shall serve for one year and their term of office shall begin at the commencement of their appointment at the meeting when the vote is held for the New Year.

Section E: Vacancy – If a vacancy occurs in the office of Chairperson, the Treasurer or Secretary shall assume the office for the remainder of the term and vacancies in any other office shall be filled by a special election.

ARTICLE IV:  DUTIES OF OFFICERS

Section A: Chairperson – it shall be the duty of the Chairperson to:

·    Preside at meetings

·    Vote only in case of a tie

·    Represent Small Business Network Group

·    Perform such other duties as ordinarily pertain to this office

Section B: Secretary – It shall be the duty of the Secretary to:

·    Record the minutes of all meetings

·    Keep a file of Small Business Network records

·    Maintain a current roster of membership

·    Issue notices of meetings and conduct the general correspondence of SBN Group

Section C: Treasurer – It shall be the duty of the Treasurer to:

·    Receive all funds and process Request for Payment, Deposit Slip, and Officer Signature Forms.

·    Keep an itemized account of all receipts and expenditures and make reports as directed.

The committee will at their discretion make decisions on behalf of SBN, unless there is a major financial impact on the funds managed by SBN, then the decision will be put to a vote at the next meeting.

 ARTICLE V:  MEETINGS

Section A: Meetings – Regular meetings shall be held twice a month during the regular school year January to November, one meeting will be held in the early part of December.

Section B: Special Meeting – Special meetings may be called by the Chairperson with the approval of the remaining Committee members.

Section C: Quorum – A quorum shall consist of [example: two-thirds (2/3)] of the membership. [The number required should be small enough to ensure that a quorum will usually be present but large enough to protect the SBN against decisions being made by a small minority.]

ARTICLE VI:  COMMITTEES

Section A: Program Committee – A program committee composed of the Chairperson and four other members shall be appointed by the Chairperson before the end of February each year.

Duties:

1.   To plan the overall program of the SBN.

2.   To appoint / plan speakers for the year

3.   To determine events / community projects

4.   Issue a calendar of events both in electronic form and hard copy

Section B: Other committees – [List other committees germane to the SBN committee such as finance, publicity, membership, professional relations, social, etc.]

Section C: Special Committees – The Chairperson shall have the authority to appoint any special committee/s.

 ARTICLE VII:  AMENDMENTS

Section A: Selection – these bylaws may be amended by a two-thirds (2/3) majority vote of the Small Business Network membership.                               

Section B: Notice – All members shall receive advance / notice of the proposed amendment at least five days before the meeting. [The time may be extended to the following meeting.]
